INTERDIAL reserves the right to change this Agreement, in whole or in part, from time to time at our sole discretion, and to provide you with notice of such change by any reasonable means, including without limitation posting the revised draft of this Agreement on the INTERDIAL WEBSITES. You can determine when this Agreement was last revised by referring to the "LAST UPDATED" legend at the top of this Agreement. For purposes of this Agreement, the following terms have the following meanings:
The "INTERDIAL Independent Sales Representative Contract" means INTERDIAL Independent Sales Representative Contract, collectively with the INTERDIAL Independent Sales Representative Terms and Conditions and any Policies and Procedures attached to or accompanying such contract.
An "INTERDIAL Independent Sales Representative" is an individual (a) who has agreed, pursuant to the terms of a INTERDIAL Independent Sales Representative Contract, to be a INTERDIAL independent sales representative, (b) who remains an active INTERDIAL independent sales representative in good standing, and (c) whose INTERDIAL Independent Sales Representative Contract or status as a INTERDIAL independent sales representative has not been terminated.
The INTERDIAL Independent Sales Representative shall be called the “INTERDIAL Independent Party”. If you are a INTERDIAL Independent Party, you acknowledge and agree that your use of the INTERDIAL WEBSITES is subject not only to this Agreement, but also to the terms and conditions contained in your INTERDIAL Independent Sales Representative Contract, as the case may be.
1.Note Regarding INTERDIAL Independent Parties
INTERDIAL Independent Parties are independent third-party contractors of INTERDIAL and are not otherwise affiliated with INTERDIAL . INTERDIAL is not responsible or liable for the statements, acts or omissions of INTERDIAL Independent Parties, whether through or in connection with the INTERDIAL WEBSITES, "offline," or otherwise. INTERDIAL has not taken any steps to confirm the accuracy or reliability of any materials communicated by a INTERDIAL Independent Party to you, and makes no representations or warranties as to the security of any communications between you and any INTERDIAL Independent Parties.
2.Restricted Uses
The INTERDIAL WEBSITES are owned and operated by INTERDIAL . The contents of the INTERDIAL WEBSITES are copyrighted under Indian copyright laws and may also be copyrighted under the laws of other countries. Except as stated herein, none of the material on the INTERDIAL WEBSITES may be copied, reproduced, distributed, republished, uploaded, displayed, posted or transmitted in any way whatsoever. Subject to your compliance with this Agreement, and solely for as long as you are permitted by INTERDIAL to access and use the INTERDIAL WEBSITES, you may download one (1) copy of any particular materials from the INTERDIAL WEBSITES for your own personal, non-commercial use, provided that you agree to abide by any copyright notice or other restrictions contained in or applicable to such materials, including any author attribution, copyright or trademark notice or restriction in any such material that you download. "INTERDIAL " and the other INTERDIAL trademarks, trade names, service marks and logos appearing on the INTERDIAL WEBSITES are proprietary trademarks of INTERDIAL . The use of any of our trademarks or any other content made available through the INTERDIAL WEBSITES, except as expressly provided in this Agreement, is strictly prohibited.
3.Information Submitted Through the INTERDIAL WEBSITES
Your submission of information through the INTERDIAL WEBSITES is governed by INTERDIAL Privacy Statement (the "Privacy Statement"), located at http://www.INTERDIAL.xyz/privacy, and this Agreement incorporates by reference the terms and conditions of the Security and Privacy Statement. You represent and warrant that any information you provide in connection with your use of the INTERDIAL WEBSITES is true, accurate and complete, and that you will maintain and update such information as needed, such that the information remains true, accurate and complete.
4.Registration, User Names and Passwords
You may be required to register with INTERDIAL in order to access certain areas of the INTERDIAL WEBSITES, for example, to purchase INTERDIAL products or otherwise initiate Transactions (as defined below). With respect to any such registration, we may refuse to grant you, and you shall not use, a user name or email address that belongs to or is already being used by another person; that may be construed as impersonating another person; that violates the intellectual property or other rights of any person; that is offensive; or that we reject for any other reason in our sole discretion. Any unsolicited or unauthorized advertisements, promotional material, "junk mail," "spam," "chain letter," "pyramid scheme" or investment opportunity, or any other form of solicitation that is not expressly approved by INTERDIAL in advance.
Any personally identifiable information of another individual, without the prior consent of such individual.
Any material, non-public information about a company, without the proper authorization to do so.
Use the INTERDIAL WEBSITES for any fraudulent or unlawful purpose.
Use the INTERDIAL WEBSITES to defame, abuse, harass, stalk, threaten or otherwise violate the legal rights of others, including without limitation others' privacy rights or rights of publicity, or to harvest or collect information about users of the INTERDIAL WEBSITES.
Impersonate any person or entity, including without limitation any representative of INTERDIAL ; falsely state or otherwise misrepresent your affiliation with any person
or entity in connection with the INTERDIAL WEBSITES; or express or imply that we endorse any statement you make.

We are not responsible for screening, monitoring or verifying such content, including such content's accuracy, reliability or compliance with copyright or other laws. Any opinions, statements or other materials made available by third parties (including INTERDIAL Independent Parties) through the Forums or otherwise through the INTERDIAL WEBSITES are those of such third parties and not of INTERDIAL , and INTERDIAL does not endorse any such opinions, statements or materials. We may remove objectionable statements or other content from the INTERDIAL WEBSITES at any time if we deem removal to be warranted. Please understand that removal or editing of any Submission or other materials may not occur immediately.

8.Purchases and Other Transactions
If you wish to purchase any product or service or to make a payment to your INTERDIAL account through a INTERDIAL WEBSITE (each such purchase or other transaction, a "Transaction"), you may be asked to supply certain information relevant to your Transaction, including without limitation your credit card number, your credit card verification or other security code, the expiration date of your credit card, your billing address and your shipping information or bank account number. Any such information provided through the INTERDIAL WEBSITES will be treated by INTERDIAL in accordance with this Agreement and the Privacy Statement. 13.Indemnification
You will indemnify and hold the INTERDIAL Entities harmless from and against any and all claims, actions, demands, causes of action, costs and expenses including attorney’s fees and other proceedings arising from or related to any of the following (the "Claims"): (a) your use of, inability to use, or activities in connection with the INTERDIAL WEBSITES; (b) any violation of this Agreement or any other INTERDIAL terms, conditions or policies by you or through any account you may have with any INTERDIAL WEBSITE; (c) any Transaction; (d) any allegation that any Submission or other materials that you make available through the INTERDIAL WEBSITES infringe or otherwise violate the intellectual property, privacy, or other rights of any third party; or (e) your violation of any rights of any INTERDIAL WEBSITE visitor, user, or customer, or any other third party; and you agree to reimburse the INTERDIAL Entities on demand for any damages, losses, costs, judgments, fees, fines and other expenses they incur (including attorneys' fees and court costs) as a result of any Claim(s).
14.Termination and Enforcement
This Agreement is effective until terminated by INTERDIAL . You agree that INTERDIAL , at its sole discretion, may terminate your access to or use of the INTERDIAL WEBSITES, at any time and for any reason, including without limitation if INTERDIAL believes that you have violated or acted inconsistently with the letter or spirit of this Agreement (including but not limited to your failure to comply with the rules of conduct set forth in Section 5 above). Upon any such termination, your right to use the INTERDIAL WEBSITES will immediately cease. You agree that any termination of your access to or use of the INTERDIAL WEBSITES may be affected without prior notice and that INTERDIAL may immediately deactivate or delete any user name and/or password used by or provided to you, and all related information and files associated therewith, and/or bar any further access to such information or files. You agree that INTERDIAL shall not be liable to you or any third party for any termination of your access to the INTERDIAL WEBSITES or to any such information or files, and shall not be required to make such information or files available to you after any such termination. INTERDIAL reserves the right to takes steps that INTERDIAL believes are necessary or appropriate to enforce and/or verify compliance with this Agreement (including without limitation in connection with any legal process relating to your use of the INTERDIAL WEBSITES and/or a third party claim that your use of the INTERDIAL WEBSITES is unlawful or violates such third party's rights).
15.Claims of Copyright Infringement
The Digital Millennium Copyright Act of 1998 (“ DMCA ”) provides recourse for copyright owners who believe that material appearing on the Internet infringes their rights under U.S. copyright law. You may not use the INTERDIAL Website for any purpose or in any manner that infringes the rights of any third party. We encourage you to report any content on the INTERDIAL Website that you believe infringes your rights. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide INTERDIAL ’s copyright agent the following information required by the Online Copyright Infringement Liability Limitation Act of the DMCA, 17 U.S.C. 512: (a) a physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; (b) identification of the copyright work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site; (c) identification of the material that is claimed to be infringing or to be the subject of infringing activity and information reasonably sufficient to permit us to locate the material; (d) information reasonably sufficient to permit us to contact the complaining party; (e) a statement that the complaining party has a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (f) a statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

General Rights Information. It is often difficult to determine if your intellectual property rights have been violated or if the DMCA requirements have been met. We may request additional information before we remove any infringing material. If a dispute develops as to the correct owner of the rights in question, we reserve the right to remove your content along with that of the alleged infringer pending resolution of the matter. 17.Waiver / Severability
No waiver by INTERDIAL of any breach or default hereunder will be deemed to be a waiver of any preceding or subsequent breach or default. If any provision of this Agreement shall be deemed to be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these terms and shall not affect the validity and enforceability of any remaining provisions.
18.Governing Law
This Agreement shall be governed by the laws of India. You agree that any dispute or claim arising out of or relating to this Agreement shall be resolved only by the courts located in Delhi, India and you hereby consent and submit to the jurisdiction of such courts for the purposes of litigating any such dispute or claim.
19.Miscellaneous
This Agreement does not, and shall not be construed to, create any partnership, joint venture, employer-employee, agency or franchisor-franchisee relationship between you and INTERDIAL . You shall not assign, transfer or sublicense any or all of your rights or obligations under this Agreement without our express prior written consent. Any heading, caption or section title contained herein is inserted only as a matter of convenience, and in no way defines or explains any section or provision hereof. This Agreement, together with all agreements and statements referred to herein and incorporated herein by reference, is the entire agreement between you and INTERDIAL relating to the subject matter hereof and, except as otherwise provided herein,
supersedes any and all prior or contemporaneous written or oral agreements or understandings between you and INTERDIAL relating to such subject matter. Notices to you may be made by posting a notice (or a link to a notice) to any INTERDIAL WEBSITE, by email, or by regular mail, at INTERDIAL 's discretion. Without limitation, you agree that a printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
1. 20.REFUND POLICY
· Customers can register complaints within one month of delivery date of the product through company's official email Id clients@INTERDIAL.xyz
· Customers must have original invoice & unopened sealed packets for claiming refund.
· Refund will be calculated only for packets that are left unopened.
· Customers must return the original invoice & unopened packets to the company's address (which is available on the invoice) for the feedback department to approve the refund.
· After verifying the details, amount will be refunded in the customer's account within 7 to 10 working days.

If the order is cancelled after the product is shipped, there will be some cancellation and courier charger that will be levied from you.
